Terms of Service

These terms govern your access to and use of the Vitilage platform and all related services. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing or using any part of the Vitilage platform, website located at www.vitilage.com, application programming interfaces (APIs), documentation, or any other services provided by Vitilage Ltd ("Company," "we," "our," or "us"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" or "your" refers to both you individually and the entity you represent.

If you do not agree with any provision of these Terms, you must not access or use the Vitilage platform or any of our services. Your continued use of the platform after any modifications to these Terms constitutes your acceptance of such modifications. We recommend reviewing these Terms periodically to stay informed of any updates.

These Terms apply to all users of the platform, including visitors who simply browse the website, registered users with active accounts, and organizations that have entered into separate subscription agreements with Vitilage Ltd. In cases where a separate subscription agreement exists, the terms of that agreement shall take precedence over these Terms to the extent of any conflict.

2. Description of Services

Vitilage provides an AI-powered financial intelligence platform designed for institutional and professional use. Our services include, but are not limited to, the following core capabilities:

  • Real-time market data aggregation from global equities, fixed income, commodities, foreign exchange, and alternative asset data sources across over 120 exchanges and data providers in 42 countries.
  • AI-driven analytical models including natural language processing for sentiment extraction, time series forecasting, anomaly detection, and cross-asset correlation analysis.
  • Customizable dashboards and reporting tools that deliver processed insights through visual interfaces, automated alerts, and downloadable reports.
  • API access via RESTful and WebSocket endpoints, enabling integration of Vitilage intelligence into proprietary systems, trading platforms, and risk management tools.
  • Risk assessment and stress testing with scenario analysis capabilities modeled on historical market events and user-defined parameters.
  • Regulatory reporting assistance with automated generation of compliance documentation aligned with applicable financial regulations.

We reserve the right to modify, update, or discontinue any feature or aspect of the platform at any time, with reasonable advance notice to active subscribers where practicable.

Vitilage does not provide investment advice, portfolio management services, or personalized financial recommendations. All analytical outputs, signals, scores, and insights generated by the platform are informational in nature and should not be interpreted as a recommendation to buy, sell, or hold any financial instrument. Users are solely responsible for their own investment decisions.

3. Eligibility and Account Registration

To use the Vitilage platform beyond publicly available website pages, you must register for an account. By registering, you confirm that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into binding agreements under the laws of your jurisdiction.
  • If acting on behalf of an organization, you are duly authorized to bind that organization to these Terms.
  • All information you provide during registration is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys issued to you. You must notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account. Vitilage Ltd shall not be liable for any loss or damage arising from your failure to protect your account credentials.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, particularly if we have reason to believe that the information provided is inaccurate, that the account is being used in violation of these Terms, or that continued access poses a risk to the platform or other users.

4. User Obligations

When using the Vitilage platform, you agree to the following obligations and restrictions:

  • Lawful use only: You must use the platform in compliance with all applicable local, national, and international laws and regulations, including but not limited to securities laws, data protection regulations, and anti-money laundering requirements.
  • No unauthorized access: You shall not attempt to gain unauthorized access to any part of the platform, other user accounts, computer systems, or networks connected to the platform through hacking, password mining, or any other means.
  • No scraping or automated extraction: You shall not use bots, scrapers, crawlers, or any automated tools to extract, copy, or download data from the platform except through our officially provided APIs and within the rate limits specified in your subscription agreement.
  • No redistribution: You shall not redistribute, resell, sublicense, or make available to third parties any data, signals, reports, or other outputs obtained from the platform without prior written consent from Vitilage Ltd.
  • No impersonation: You shall not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • No interference: You shall not interfere with or disrupt the platform, servers, or networks, including by transmitting viruses, malware, or any other harmful code.
  • No reverse engineering: You shall not decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the platform or any of its components.
  • Accurate information: You must ensure that all information provided to the platform, including account details and data uploaded for analysis, is accurate and does not violate the rights of any third party.

Violation of any of these obligations may result in immediate suspension or termination of your account, and we reserve the right to pursue any available legal remedies.

5. Intellectual Property

All content, features, and functionality of the Vitilage platform, including but not limited to the software, algorithms, machine learning models, user interface designs, text, graphics, logos, trademarks, service marks, and documentation, are owned by Vitilage Ltd or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works based on the platform or any of its content.
  • Use any data mining, robots, or similar data gathering or extraction tools on the platform.
  • Download, store, or reproduce any substantial portion of the platform content other than as expressly permitted by your subscription.
  • Use the Vitilage name, logo, or trademarks without prior written permission.

Any data, configurations, or custom model parameters you upload or create within the platform remain your property. However, you grant Vitilage Ltd a limited license to process, store, and use such data solely for the purpose of delivering the services you have requested. We will not use your proprietary data to train models that serve other clients, and we will not share your data with third parties except as described in our Privacy Policy.

6. Data Usage and Outputs

The analytical outputs generated by the Vitilage platform, including signals, scores, risk assessments, sentiment analyses, and forecasts, are derived from mathematical models applied to market data. These outputs are provided on an informational basis and carry inherent limitations:

  • Past performance of any model or signal does not predict future results.
  • Market conditions change continuously, and models may not accurately reflect current or future conditions despite regular retraining.
  • Data sources may contain errors, delays, or gaps that could affect the accuracy of outputs.
  • Confidence scores and signal strengths are probabilistic estimates, not guarantees.

You acknowledge and agree that all investment and trading decisions are made at your own risk. Vitilage Ltd is not responsible for any financial losses, missed opportunities, or other damages that may result from actions taken based on platform outputs. Professional financial advice should be sought before making any significant investment decisions.

Market data displayed on the platform is sourced from third-party providers and exchanges. While we take reasonable steps to ensure data accuracy and timeliness, we do not guarantee that all data will be error-free or delivered without delay. Real-time data availability depends on exchange licensing terms and your subscription level.

7. Disclaimers

The Vitilage platform and all associated services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Vitilage Ltd disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the platform will be uninterrupted, timely, secure, or error-free.
  • Any warranty regarding the accuracy, reliability, or completeness of any data, content, or analytical outputs provided through the platform.
  • Any warranty that defects in the platform will be corrected within a specified timeframe.

We make reasonable efforts to maintain platform availability and aim for high uptime, but we do not guarantee continuous, uninterrupted access. Scheduled maintenance, emergency updates, and circumstances beyond our control (including force majeure events, network outages, and third-party service disruptions) may result in temporary unavailability.

Vitilage Ltd is not a registered investment adviser, broker-dealer, or financial planner under the laws of any jurisdiction. Nothing on the platform or in any communication from Vitilage constitutes investment advice, a recommendation to trade, or a solicitation to buy or sell any security or financial instrument. You should consult with qualified financial professionals before making any investment decisions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Vitilage Ltd, its directors, officers, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities.
  • Financial losses resulting from investment or trading decisions made using platform outputs.
  • Costs of procuring substitute services.
  • Interruption of business or loss of goodwill.

These limitations apply regardless of the legal theory under which such liability is asserted, whether in contract, tort (including negligence), strict liability, or any other basis, and even if Vitilage Ltd has been advised of the possibility of such damages.

In any event, the total aggregate liability of Vitilage Ltd arising out of or relating to these Terms or your use of the platform shall not exceed the greater of: (a) the total amount you paid to Vitilage Ltd in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred British pounds (GBP 100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vitilage Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Vitilage platform.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights.
  • Any data or content you upload, transmit, or make available through the platform.
  • Any investment or trading decisions you make based on information obtained from the platform.

This indemnification obligation shall survive the termination of these Terms and your use of the platform. We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

10. Third-Party Links and Services

The Vitilage platform may contain links to third-party websites, services, or resources that are not owned or controlled by Vitilage Ltd. These links are provided for your convenience and informational purposes only. We do not endorse, approve, or assume responsibility for the content, products, services, or practices of any third-party websites or resources.

Your interactions with third-party websites and services, including payment transactions, data sharing, and communications, are solely between you and the third party. Vitilage Ltd is not responsible for any damage, loss, or harm of any kind arising from such interactions. We strongly recommend reviewing the terms of service and privacy policies of any third-party website or service before engaging with them.

The platform integrates with certain third-party data providers, exchanges, and technology services to deliver our analytical capabilities. While we carefully select our technology partners and data sources, we do not control their operations and cannot guarantee the continuous availability, accuracy, or security of their services. Interruptions or errors originating from third-party services may affect platform functionality.

11. Privacy

Your privacy is important to us. Our collection, use, storage, and sharing of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Vitilage platform, you consent to the data practices described in our Privacy Policy.

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the EU General Data Protection Regulation (GDPR) where applicable. Our Privacy Policy provides detailed information about the types of data we collect, the purposes for which we use it, your rights regarding your personal data, and how to exercise those rights.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. This choice of governing law applies regardless of your country of residence or the location from which you access the platform.

Subject to the dispute resolution provisions set out in Section 13, you agree that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms, including disputes regarding the existence, validity, or termination of these Terms.

Notwithstanding the foregoing, Vitilage Ltd retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights, data security, or other proprietary rights.

13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform ("Dispute"), we encourage you to first attempt to resolve the matter informally by contacting us at [email protected]. Please include a detailed description of the Dispute, your contact information, and the specific relief you are seeking.

We commit to making a good-faith effort to resolve any Dispute within thirty (30) days of receiving your written notice. During this informal resolution period, neither party shall initiate formal proceedings (except where interim relief is necessary to prevent irreparable harm).

If the Dispute cannot be resolved informally within thirty (30) days, either party may refer the Dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London, United Kingdom. If mediation fails to resolve the Dispute within sixty (60) days of the mediation request, either party may commence proceedings in the courts of England and Wales as specified in Section 12.

Each party shall bear its own costs in connection with any informal resolution or mediation attempts. The costs of the mediator shall be shared equally between the parties unless the mediator directs otherwise.

14. Termination

Vitilage Ltd may suspend or terminate your access to the platform at any time, with or without cause, and with or without notice, if we reasonably believe that:

  • You have violated any provision of these Terms.
  • Your use of the platform poses a security risk or may cause harm to other users or our systems.
  • You have engaged in fraudulent, abusive, or illegal activity.
  • Your subscription fees are overdue by more than fifteen (15) days.
  • Continued provision of the service is no longer commercially viable or legally permissible.

You may terminate your account at any time by contacting us at [email protected] or through the account settings in the platform. Upon termination, your right to access the platform ceases immediately. Refund policies for prepaid subscription fees are governed by the terms of your specific subscription agreement.

Upon termination, the following provisions shall survive: Sections 5 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 12 (Governing Law and Jurisdiction), and 13 (Dispute Resolution). We will retain your data for a reasonable period following termination to allow you to request data export, after which it will be securely deleted in accordance with our Privacy Policy.

15. Changes to These Terms

Vitilage Ltd reserves the right to modify or replace these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and take reasonable steps to notify active subscribers of material changes.

For material changes that significantly affect your rights or obligations, we will provide at least fourteen (14) days advance notice via email to the address associated with your account or through a prominent notice on the platform. Minor clarifications or corrections that do not materially affect your rights may be made without advance notice.

Your continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the platform and terminate your account before the changes take effect. We encourage you to review these Terms periodically so that you remain informed about the conditions governing your use of our services.

Additional Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Vitilage Ltd regarding the use of the platform. These Terms supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter hereof.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Waiver: The failure of Vitilage Ltd to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if made in writing and signed by an authorized representative of Vitilage Ltd.

Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Vitilage Ltd. We may assign our rights and obligations under these Terms to an affiliate, a successor entity in connection with a merger or acquisition, or to any other party at our discretion, provided that such assignment does not materially diminish your rights under these Terms.

Force Majeure: Vitilage Ltd shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemic, war, terrorism, civil unrest, government actions, power outages, internet or telecommunications failures, or third-party service disruptions.

Notices: All notices required or permitted under these Terms shall be in writing. Notices to Vitilage Ltd should be sent to the email address or physical address listed in Section 16. Notices to you will be sent to the email address associated with your account. Notices shall be deemed received upon delivery for hand-delivered notices, one business day after sending for email notices, and three business days after posting for notices sent by first-class mail.
